1.Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Starglow ("Company", "we", "us", or "our") regarding your use of the Starglow platform and all related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

2.Description of Services

Starglow is a Web3 entertainment platform that connects K-pop artists with fans through:

  • NFT creation, trading, and collection
  • Artist valuation and prediction markets
  • Fan community and engagement tools
  • Digital asset management
  • Blockchain-based entertainment experiences
  • Artist-fan interaction features

3.Eligibility

3.1 Age Requirements

To use our Services, you must:

  • Be at least 18 years old or the legal age of majority in your jurisdiction for full access
  • If you are between 14 and 18 years old, you may use our Services only with the consent of your parent or legal guardian
  • Users under 14 years old are not permitted to use our Services

3.2 Legal Capacity

You must also:

  • Have the legal capacity to enter into binding agreements
  • Not be located in a jurisdiction where use of our Services is prohibited
  • Comply with all applicable laws and regulations
  • Not be subject to any sanctions or restricted party lists

3.3 Parental Responsibility

If you are a parent or legal guardian permitting a minor (14-18 years old) to use our Services, you agree to:

  • Supervise their use of the Services
  • Be bound by these Terms on behalf of the minor
  • Accept responsibility for all activities under their account
  • Ensure compliance with age-restricted features (e.g., financial transactions)

4.Account Registration and Security

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use
  • Accept responsibility for all activities under your account

5.Web3 and Blockchain Services

5.1 Wallet Connection and Management

You may connect third-party cryptocurrency wallets or create wallets through our Services. You understand and agree that:

5.1.1 Self-Custody Responsibility

YOU ARE SOLELY RESPONSIBLE FOR SECURING YOUR PRIVATE KEYS. Loss of private keys will result in permanent loss of access to your digital assets. We cannot and will not recover lost private keys.

5.1.2 Temporary Encrypted Storage

For wallets created through our platform, we provide a temporary convenience feature:

  • Encryption Method: Private keys are encrypted using AES-256 encryption before temporary storage
  • Storage Duration: Maximum 30 days from wallet creation OR until you complete backup, whichever comes first
  • Access Control: Encrypted credentials are accessible only to you through authenticated sessions
  • BACKUP REMINDER: YOU MUST BACKUP YOUR PRIVATE KEYS IMMEDIATELY upon wallet creation. We will continuously remind you to complete this critical step.

5.1.3 Automatic Deletion Policy

  • Upon backup completion confirmation, all stored encrypted credentials are permanently and irreversibly deleted from our systems within 24 hours
  • After 30 days, all unconfirmed backups will be automatically deleted from our systems
  • We do not maintain any backup copies or recovery mechanisms after deletion
  • WE CANNOT RECOVER YOUR PRIVATE KEYS after deletion under any circumstances

5.1.4 No Custodial Service

  • We do not provide custodial wallet services or long-term key storage
  • We are not a financial institution or digital asset custodian
  • All users must transition to full self-custody immediately upon wallet creation
  • You acknowledge that failure to backup your keys will result in permanent loss of assets

5.1.5 Transaction Finality

  • All blockchain transactions are irreversible once confirmed
  • You must verify all transaction details before confirmation
  • Network fees (gas fees) apply to all blockchain transactions
  • Transaction speed and costs depend on blockchain network conditions

5.2 NFTs and Digital Assets

When you purchase or create NFTs through our Services:

  • You obtain ownership rights to the specific NFT token
  • Underlying content may be subject to separate license terms
  • We do not guarantee the value or liquidity of NFTs
  • Smart contract functionality may have limitations

5.3 Blockchain and Smart Contract Risks

YOU ACKNOWLEDGE AND ACCEPT THE INHERENT RISKS OF BLOCKCHAIN TECHNOLOGY AND SMART CONTRACTS. These risks include but are not limited to:

5.3.1 Smart Contract Risks

  • Code Vulnerabilities: Smart contracts may contain bugs, errors, or vulnerabilities that could result in loss of funds or NFTs
  • Immutability: Most smart contracts cannot be modified or upgraded once deployed, meaning bugs cannot be fixed
  • Unexpected Behavior: Smart contracts may behave in ways not anticipated by their developers
  • Third-Party Contracts: Interactions with third-party smart contracts may expose you to additional risks beyond our control
  • No Audit Guarantee: Even audited smart contracts may contain undiscovered vulnerabilities

5.3.2 Network Risks

  • Network Congestion: High network activity may cause transaction delays or failures
  • Gas Fee Volatility: Network fees can fluctuate significantly and may become prohibitively expensive
  • Failed Transactions: You may lose gas fees even if a transaction fails
  • Network Forks: Blockchain forks may affect your assets or transaction history
  • 51% Attacks: Blockchain networks may be vulnerable to consensus attacks

5.3.3 Asset-Related Risks

  • Value Volatility: Digital assets may experience extreme price volatility
  • Liquidity Risk: You may be unable to sell or transfer assets when desired
  • Permanent Loss: Loss of private keys results in permanent loss of asset access
  • Wrong Address Transfers: Sending assets to incorrect addresses results in permanent loss
  • Scams and Fraud: The Web3 space contains malicious actors and fraudulent projects

5.3.4 Regulatory and Legal Risks

  • Regulatory Uncertainty: Blockchain regulations are evolving and may change unfavorably
  • Geographic Restrictions: Services may become unavailable in your jurisdiction
  • Tax Implications: Digital asset transactions may have complex tax consequences
  • Legal Status: The legal status of digital assets varies by jurisdiction

5.3.5 Platform-Specific Limitations

  • We do not control blockchain networks and cannot reverse transactions
  • We cannot guarantee continuous access to blockchain services
  • Smart contract functionality may have undocumented limitations
  • Technical issues may prevent access to your digital assets temporarily

BY USING OUR WEB3 SERVICES, YOU ACKNOWLEDGE THAT YOU UNDERSTAND THESE RISKS AND AGREE TO ASSUME ALL RESPONSIBILITY FOR ANY LOSSES THAT MAY OCCUR.

6.User Conduct

You agree not to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Engage in fraudulent or deceptive practices
  • Harass, abuse, or harm other users
  • Distribute malware or harmful code
  • Attempt to gain unauthorized access to our systems
  • Manipulate or exploit our Services
  • Create multiple accounts to circumvent restrictions

7. Intellectual Property

7.1 Our Content

All content, features, and functionality of our Services are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws.

7.2 User Content

You retain ownership of content you create or upload. By using our Services, you grant us a non-exclusive, royalty-free license to use, display, and distribute your content in connection with our Services.

7.3 Artist Content

Artist content, including music, images, and videos, is protected by copyright and may be subject to separate licensing agreements with artists and record labels.

8. Payment and Fees

8.1 Payment Methods

We accept the following payment methods:

  • Credit and debit cards
  • Bank transfers and virtual accounts
  • Mobile payment services (Samsung Pay, Apple Pay, etc.)
  • Cryptocurrency payments (Bitcoin, Ethereum, etc.)
  • Easy payment services (Naver Pay, Kakao Pay, etc.)
  • Other payment methods as made available

8.2 Payment Obligations

By making a payment, you agree to:

  • Pay all applicable fees and taxes
  • Provide accurate payment information
  • Accept responsibility for all charges
  • Comply with payment processor terms
  • Accept that cryptocurrency transactions are irreversible

8.3 Digital Assets and NFTs

Purchases of digital assets, NFTs, and virtual items are:

  • Final and non-refundable
  • Subject to blockchain network fees
  • Delivered to your connected wallet address
  • Your responsibility to secure and maintain

8.4 No Refund Policy

ALL SALES ARE FINAL. Due to the digital nature of our Services and the irreversible nature of blockchain transactions, we do not offer refunds, returns, or exchanges for any purchases, including but not limited to:

  • NFTs and digital collectibles
  • Virtual currencies and tokens
  • Digital content and premium features
  • Event tickets and participation fees
  • Subscription services

8.5 Fee Changes

We reserve the right to modify our fees at any time with reasonable notice. Price changes will not affect purchases already completed.

8.6 Taxes

You are responsible for all applicable taxes related to your use of our Services and any transactions conducted through our platform.

8.7 Electronic Financial Transactions

In accordance with the Electronic Financial Transactions Act of the Republic of Korea, the following terms apply to electronic financial transactions:

8.7.1 Transaction Security

  • You must safeguard your access credentials and payment information
  • We employ encryption and security measures to protect transaction data
  • You are responsible for transactions made using your credentials unless unauthorized use is proven

8.7.2 Error Correction Rights

If you discover an error in a transaction, you have the right to request correction by:

  • Notifying us immediately upon discovering the error
  • Providing relevant transaction details and error information
  • We will investigate and respond within a reasonable timeframe

Important: Error correction rights do not apply to blockchain transactions, which are immutable and irreversible by their nature.

8.7.3 Liability for Unauthorized Transactions

In the event of unauthorized electronic financial transactions:

  • We may be liable for damages caused by forged or altered access credentials or payment information
  • You will not be liable if you can prove that unauthorized use occurred despite reasonable care
  • You must notify us immediately upon discovering unauthorized transactions
  • Liability may be limited or excluded if you intentionally disclosed credentials or were grossly negligent

8.7.4 Transaction Records

  • We will maintain records of all electronic financial transactions for 5 years
  • You may request copies of your transaction records at any time
  • Transaction confirmations will be provided via email or in-app notifications

8.7.5 Blockchain Transaction Limitations

Please note that blockchain-based transactions (cryptocurrency payments, NFT purchases, etc.) are:

  • Immutable and cannot be reversed or corrected once confirmed
  • Subject to blockchain network rules, not traditional financial regulations
  • Not covered by traditional banking protections or error correction rights
  • Your sole responsibility to verify accuracy before confirmation

9. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT AND TITLE
  • ACCURACY, COMPLETENESS, OR RELIABILITY OF CONTENT
  • UNINTERRUPTED OR ERROR-FREE OPERATION

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of our Services, violation of these Terms, or infringement of any third-party rights.

13. Termination

We may terminate or suspend your access to our Services at any time, with or without cause, with or without notice. You may also terminate your account at any time.

Upon termination, your right to use our Services ceases immediately. Provisions that should survive termination will remain in effect.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date.

Your continued use of our Services after the effective date constitutes acceptance of the updated Terms.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law provisions.

15.2 Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or our Services:

  • Negotiation: The parties shall first attempt to resolve the dispute through good faith negotiation
  • Mediation: If negotiation fails, the parties may agree to mediation before pursuing legal action
  • Jurisdiction: Any legal action shall be brought exclusively in the courts of Seoul, Republic of Korea

15.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15.4 Limitation Period

Any claim arising from these Terms must be filed within one (1) year after the cause of action arises, or such claim shall be permanently barred.
